Welcome to CClarity Pte Ltd (“we”, “our”, “us”). These Terms of Use (“Terms”) govern your access to and use of our website at www.cclarity.io and our SaaS product at www.get.cclarity.io (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By accessing or using our Services, you represent that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Use of the Services

a. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old.

b. Account Registration

To access certain features of our SaaS product, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as prompted by our registration form. You also agree to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.

c. User Conduct

You agree not to use the Services for any unlawful purpose or in any way that could harm, disable, overburden, or impair our Services. You also agree not to:

• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Violate any applicable local, state, national, or international law.
• Use any data mining, robots, or similar data gathering or extraction methods in connection with the Services.
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means.

3. Intellectual Property

a. Ownership

The Services and all content, features, and functionality, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by CClarity Pte Ltd, its licensors, or other providers of such material and are protected by Singapore and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

b. License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use.

c. Icons

Icons used in our Services are provided by Icons8.

4. LinkedIn Integration

Our SaaS product allows you to log in using your LinkedIn account. By using this feature, you agree that we may access certain information from your LinkedIn profile to personalize your experience. Your use of LinkedIn and the data you provide is governed by LinkedIn’s terms and privacy policies.

5. Subscription and Payment

Certain features of our Services may require you to purchase a subscription. All subscription fees are non-refundable except as required by law. We reserve the right to change our subscription plans or adjust pricing for our Services in any manner and at any time as we may determine in our sole and absolute discretion.

6. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services.

7. Disclaimers and Limitation of Liability

a. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that the results that may be obtained from the use of the Services will be accurate or reliable.

b. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall CClarity Pte Ltd, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of Singapore.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
